Germany's Bayer increases offer for seed company Monsanto
Bayer (BAYGn.DE) said on Thursday it had raised its offer for Monsanto to $125 per share from $122.
Bayer also offered a $1.5 billion reverse-breakup fee should a deal be blocked on antitrust grounds.
Bayer said it boosted its all-cash offer from $122 per share to $125 per share verbally on July 1 and in an updated written proposal on July 9. The total takeover bid for Monsanto is up to approximately $65 million. Buying Monsanto would also give Bayer a controversial pioneer of crop biotechnology that is reviled in Europe.

In other words, Bayer just spent weeks in private talks with Monsanto only to see that company try to make an acquisition of its own. "Bayer is fully committed to pursuing this transaction", Bayer Chief Executive Officer Werner Baumann said.
A deal would also reshape Bayer itself, making agriculture roughly half its overall sales, which has rattled some investors who view the company more as a health-care player than a producer of crop seeds.

In a release, Monsanto confirmed it had received the revised offer. While Dow Chemical and DuPont are progressing with their planned merger relatively quickly, the planned $US43 billion takeover of Syngenta by China National Chemical Corp has attracted regulatory and political scrutiny. Since weeds are becoming increasingly resistant to Monsanto's Roundup product, the addition of the Dicambra to Monsanto's portfolio could be a big benefit to the seed company.
